NEW YORK September 20, 2018 – Consolidated Edison, Inc.,

(NYSE: ED) (“Con Edison”) today announced that one of its subsidiaries has agreed to acquire a Sempra Energy subsidiary that owns 981 megawatts (MW) AC of operating renewable electric production projects, including its 379 MW AC share of projects that it owns jointly with Con Edison subsidiaries, and certain development rights for additional solar electric production and energy storage projects. The purchase price for the acquisition is $1.54 billion (subject to closing adjustments, including working capital). The projects have $576 million of existing project debt. The acquisition is expected to be completed near the end of 2018.

“Renewable energy is the fastest growing source of the country’s supply of electricity, and the acquisition will accelerate our position as a market leader,” said John McAvoy, chairman and CEO of Con Edison. “We have grown a meaningful large-scale solar business and will add value to new capital opportunities as they arise. With completion of this acquisition, we expect to be the second largest owner of solar electric production projects in North America.”

The acquisition will increase Con Edison’s utility-scale, renewable energy production portfolio to approximately 2,600 MW AC, of which 85 percent is solar and 15 percent is wind. The energy produced will avoid approximately 5.4 million metric tons of carbon dioxide emissions annually. That result is the equivalent of taking 1.2 million vehicles off the roads./

Mark Noyes, President and Chief Executive Officer of Con Edison Clean Energy Businesses, Inc., which owns Con Edison’s renewable energy production projects, stated, “These projects are located in states in which we currently own and operate projects, and in some cases are adjacent to our existing projects, creating opportunities for value-enhancing synergies.”

The projects are located in Nevada, Arizona, California, and Nebraska, and consist of projects jointly-owned by Con Edison subsidiaries and Sempra subsidiaries and projects wholly-owned by Sempra subsidiaries. All of the existing projects sell electricity under long-term agreements with investment-grade utilities or municipalities.

The sale is subject to customary closing conditions and consents, including approvals by the Federal Energy Regulatory Commission and the U.S. Department of Energy, and the expiration or early termination of the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act.

Con Edison expects to finance the purchase price for the acquisition with a combination of $715 million of equity and $825 million of long-term, non-recourse debt.

Assuming that the acquisition closes in 2018, Con Edison estimates that the effect of the acquisition on GAAP earnings will be: accretive in 2018 (approximately $0.50 per share), due primarily to purchase accounting adjustments; dilutive in 2019 (approximately $0.25 per share) and 2020 (approximately $0.15 per share), due primarily to accounting for existing third-party tax equity investments in certain of the projects being acquired; and accretive thereafter.

For the year of 2018, Con Edison reaffirms its previous forecast of adjusted earnings per share of $4.15 to $4.35 per share. Adjusted earnings per share exclude purchase accounting adjustments for the acquisition.

Jetro’s systems total 4.2 megawatts and will reduce CO2 emissions by almost 7 million pounds annually

Ross Solar Completes Fourth Solar Power System for Jetro Restaurant DepotDANBURY, CT January 18, 2018 — Ross Solar, a Con Edison Solutions company,  announced today that it has completed the last of four solar installations for Jetro Restaurant Depot with the fourth installation occurring at Jetro’s Maspeth facility in Queens, New York.  The combined size of the four solar installations, approximately 4.2 megawatts, makes Jetro the largest host for commercial rooftop solar in the Con Edison Company of New York utility service territory.

Comprised of 2,274 high-efficiency SunPower X-series solar panels, the Maspeth installation alone is expected to generate 921,230 kilowatt-hours of clean electricity per year and reduce CO2 emissions by more than 1.4 million pounds annually, representing the equivalent of 73,432 fewer gallons of gasoline used or more than 124 cars removed from the road.  The energy produced by the solar power is enough to provide more than 84 households with electricity for a year.

Maspeth is the most recent of a series of four Ross Solar installations for Jetro, with previous projects at Jetro’s Bronx, College Point, and Port Chester facilities.

Company Selected as the Official “Solarize Canton” Partner for Second Time

Achieves Solar Industry’s Most Prestigious Certification

DANBURY, C.T.: November 2, 2017 – Ross Solar, a Con Edison Solutions company, today announced that senior engineer Andy Mayshar has earned the solar industry’s leading recognition of installation expertise from the North American Board of Certified Energy Practitioners (NABCEP®). NABCEP® is the most highly respected and well-established national certification organization for renewable energy professionals. Mayshar will use the knowledge and professionalism required to attain this certification to continue Ross Solar’s work in reducing energy costs and preserving the environment through custom solar instillations for residential, commercial, and municipal clients.

VALHALLA, NY: Ross Solar, a Con Edison Solutions company, has completed the first of three solar installations totaling 2.6 megawatts for Jetro Restaurant Depot at the company’s College Point facility in Queens, New York.  The SunPower® Helix Roof Solution, a fully integrated commercial solar power platform, features 2,196 high-efficiency SunPower E-Series solar panels, once again demonstrating the viability of large scale solar installations in New York City.

According to estimates provided by the U.S. Environmental Protection Agency, the 718 kilowatt College Park solar power system will offset 641 metric tons of greenhouse gas emissions annually. This is equivalent to 1,535,633 fewer miles driven by an average passenger vehicle, or equal to the carbon sequestered by 16,606 tree seedlings grown for ten years.

VALHALLA, NY:  Ross Solar, a Con Edison Solutions company, has begun preparations to install a third record-setting solar project for Gengras Motor Cars at the dealership group’s Chrysler / Dodge / Jeep / Ram facility on Connecticut Blvd., in East Hartford, Conn.  The SunPower® HelixTM Roof Solution, a fully integrated commercial solar power platform, will feature 954 high efficiency SunPower E-Series solar panels.  Upon completion, the installation will be the largest single SunPower rooftop solar installation to date in East Hartford, Conn.

In 2015, Ross Solar installed two separate SunPower solar power systems for Gengras Motor Cars at their Volvo and Chevrolet facilities on Connecticut Blvd., totaling 418 kilowatts in size, which at the time were the two largest single SunPower rooftop solar installations in East Hartford.

According to estimates provided by the U.S. Environmental Protection Agency, the  forthcoming installation will offset 266 metric tons of greenhouse gas emissions annually, representing a reduction in Co2 emissions equivalent to not burning 283,559 pounds of coal each year, and equal to the carbon sequestered by 6,887 tree seedlings grown for ten years.
